Professional Directional Recapitalization  

Harren Equity Partners Invests In Professional Directional Ltd.
 
CHARLOTTESVILLE, Virginia, July 31, 2007 - Harren Equity Partners is pleased to announce that it has partnered with management to complete a recapitalization of Professional Directional Ltd. (“Professional Directional”). Headquartered in Conroe, Texas, Professional Directional provides a variety of directional and horizontal drilling services to oil and gas exploration and production (“E&P”) customers. The Company employs a team of highly talented drilling operators who maintain significant in-house, experience-based directional drilling expertise. In addition, the Company’s senior management team has over 125 years of directional drilling industry experience. The Company’s experience level and state-of-the-art equipment allow Professional Directional to provide industry leading directional drilling services, including: (i) well planning and engineering to meet drilling performance and geological targets set by E&P customers; (ii) directional and horizontal drilling packages; (iii) down hole motor technology; (iv) well site supervision; (v) exploratory and development re-entry drilling; and (vi) down hole guidance services.

According to Company President Charles May, Professional Directional is currently targeting several initiatives to strengthen its position in the directional drilling industry, including: (i) the pursuit of add-on acquisitions, (ii) expansion with new and existing customers, and (iii) the introduction of additional equipment and services. Mr. May commented, “We knew that we needed to find a partner who could not only provide access to capital to fund these growth initiatives, but who could also provide operational resources and support to help us manage the future expansion. Harren not only spent a great deal of time getting up to speed on our business during due diligence, but they also demonstrated their commitment to helping us by working on several strategic initiatives before we even closed the transaction.”

The investment in Professional Directional fits well with Harren’s proven track record of successful investments in energy services companies. Harren recently exited its investment in Virginia Explosives and Drilling Company (“VEDCO”), an outsourced drilling and blasting services provider to the surface coal mining industry. Harren’s experience with VEDCO and the significant operational changes implemented during Harren’s investment period were important factors in management’s decision to partner with Harren.  Karen Murphey, Vice President, stated, “As we learned more about Harren’s role in helping to grow VEDCO, we realized that Harren was the right partner for us. Many of the strategic initiatives implemented at VEDCO are similar to the ones that we plan to accomplish here at Professional Directional.”
